Terms of Service

By accessing or using MCPCloud (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you may not use the Service. These Terms apply to all users including individuals, organizations, and teams.

MCPCloud reserves the right to update these Terms at any time. We will notify you of material changes via email or a prominent notice on the Service. Your continued use after the effective date of any change constitutes acceptance of the updated Terms.

MCPCloud is a developer platform that enables users to build, deploy, and publish MCP (Model Context Protocol) servers and AI skills. The Service includes API specification ingestion, automated code generation, an interactive skill studio, cloud deployment to Cloudflare Workers and other targets, and a public marketplace for sharing servers and skills.

We may modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice, except where immediate action is required to address legal or security concerns.

You must create an account to access most features. You agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

You must be at least 16 years old to use the Service. Organizations are responsible for ensuring their members comply with these Terms. If you suspect unauthorized access to your account, notify us immediately at support@mail.mcpcloud.sh.

MCPCloud offers Free, Starter, Pro, Max, and Enterprise subscription tiers. Paid plans are billed in advance on a monthly or annual basis via Stripe. All fees are non-refundable except where required by applicable law or at our sole discretion.

Upgrades take effect immediately and are prorated. Downgrades take effect at the end of your current billing cycle. We may change plan pricing with 30 days’ advance notice; your continued use after the effective date constitutes acceptance. Enterprise plans are governed by a separate agreement.

If a payment fails, we may suspend your access until the outstanding balance is settled. You are responsible for any taxes applicable to your subscription in your jurisdiction.

You agree not to use the Service to:

• Generate, distribute, or deploy malicious code, spyware, or unauthorized surveillance tools
• Ingest or process API specifications you are not authorized to use
• Violate applicable laws, regulations, or the rights of any third party
• Attempt to circumvent rate limits, access controls, or other security measures
• Reverse engineer, decompile, or extract proprietary components of the platform
• Impose unreasonable or disproportionate load on shared infrastructure
• Resell, sublicense, or transfer your account credentials to others
• Harvest or scrape user data, generated code, or marketplace listings at scale

MCPCloud may suspend or terminate accounts that violate this policy, with or without prior notice depending on the severity of the violation.

MCPCloud and its licensors retain all rights, title, and interest in the platform, including its software, design, trademarks, and documentation. These Terms do not grant you any rights to use MCPCloud’s branding or proprietary technology outside of the Service.

You retain all rights to the content you bring to the Service, including API specifications and custom configurations. Subject to these Terms, you grant MCPCloud a limited, non-exclusive, royalty-free license to process and display your content solely to provide and improve the Service.

You are solely responsible for API specifications, credentials, configuration data, skills, and any other content you upload or create through the Service (“User Content”). You represent that you have all necessary rights to submit User Content and that it does not violate any third-party rights or applicable laws.

MCPCloud does not claim ownership of your User Content. You may delete your User Content at any time via account settings. Deleted content is purged from active systems within 30 days; backup copies may persist for up to an additional 30 days.

MCPCloud uses large language models to generate MCP server code and skill implementations based on your inputs. You own the output code generated from your API specifications and configurations. MCPCloud does not claim intellectual property rights over generated server code.

AI-generated code is provided without warranty as to correctness, security, or fitness for any particular purpose. You are responsible for reviewing, testing, and hardening all generated code before deploying it to production. MCPCloud is not liable for losses arising from unreviewed or improperly deployed AI-generated output.

The MCPCloud Marketplace allows users to publish and discover MCP servers and skills. By listing an item, you grant MCPCloud a non-exclusive license to display, distribute, and promote your listing within the platform.

For paid Marketplace distributions, MCPCloud retains 25% of revenue and remits 75% to the creator. Payouts are processed via Stripe and subject to Stripe’s terms and applicable withholding requirements. MCPCloud reserves the right to remove listings that violate these Terms, applicable law, or our community guidelines, without prior notice.

Your use of the Service is governed by our Privacy Policy, incorporated into these Terms by reference. By using the Service, you consent to our collection and use of data as described in the Privacy Policy.

The Service integrates with Stripe (payments), Cloudflare Workers (deployment), Anthropic API (AI capabilities), and GitHub (authentication and integrations). Your use of those services is subject to their respective terms and privacy policies. MCPCloud is not responsible for the availability, accuracy, or practices of any third-party service.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. MCPFACTORY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MCPFACTORY’S TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER OR RELATED TO THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO MCPFACTORY IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

IN NO EVENT SHALL MCPFACTORY BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR DATA LOSS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

You agree to indemnify, defend, and hold harmless MCPCloud and its affiliates, officers, directors, employees, and licensors from any claims, liabilities, damages, and expenses (including reasonable legal fees) arising from your use of the Service, your User Content, your Marketplace listings, or your violation of these Terms.

You may terminate your account at any time through account settings or by contacting support. MCPCloud may suspend or terminate your account for violation of these Terms, non-payment, or for any business reason with 30 days’ notice (or immediately for material violations or actions that harm the platform or other users).

Upon termination, your right to access the Service ceases. We will retain your data for 30 days, during which you may request an export. Sections 6, 7, 12, 13, 14, and 16 survive termination of these Terms.

These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-law provisions. Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration under JAMS Streamlined Arbitration Rules, except that either party may seek injunctive relief in a court of competent jurisdiction.
